These Terms of Service ("Terms") govern your access to and use of InvoiceChase, a software service operated by EmpireX Global LLC.

By creating an account or using InvoiceChase, you agree to these Terms.

1. The Service

InvoiceChase provides software designed to help businesses organize invoices, track payment status, and manage payment follow-up activities.

InvoiceChase is a software tool. It is not a law firm, accounting firm, financial institution, or guaranteed debt-recovery service.

We do not guarantee that use of InvoiceChase will cause an invoice to be paid, cause a customer to respond, recover a debt, or produce any particular financial result.

2. Accounts

You must provide accurate information when creating and maintaining an account.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• Activity occurring through your account.
• Keeping your account information reasonably current.
• Promptly notifying us if you suspect unauthorized access.

You may not use another person's account without authorization.

3. Your Data and Customer Information

You retain your rights in business information and content that you provide to InvoiceChase.

You represent that you have the necessary rights and authority to upload, store, use, and process information you provide through the service, including information concerning your customers or contacts.

You are responsible for the accuracy, legality, and appropriateness of information and communications generated from or sent using your account.

4. Acceptable Use

You may not use InvoiceChase to:

• Violate applicable laws or regulations.
• Send fraudulent, deceptive, threatening, abusive, or unlawful communications.
• Impersonate another person or business.
• Access accounts or information without authorization.
• Introduce malicious code or interfere with the security or operation of the service.
• Use the service for spam or other prohibited messaging activity.
• Attempt to circumvent account, usage, security, or subscription restrictions.

We may restrict or suspend access where reasonably necessary to protect InvoiceChase, its users, third parties, or the integrity of the service.

5. Free Trial

InvoiceChase offers a free trial as described on our website.

The trial period, eligibility, feature set, and other conditions displayed at signup form part of the offer.

A free trial does not guarantee permanent free access to paid functionality.

6. Paid Subscriptions

Certain InvoiceChase features require a paid subscription.

Before purchasing, the applicable price and billing frequency will be displayed to you.

Unless otherwise stated at purchase, paid subscriptions are recurring and renew according to the billing frequency shown during checkout until canceled.

Payment processing is provided by a third-party payment processor, currently Stripe.

7. Cancellation

You may cancel a paid subscription in accordance with the Cancellation Policy, using the cancellation options made available through InvoiceChase or its billing provider.

Cancellation does not automatically entitle you to a refund. Refund eligibility is governed by the Refund Policy and applicable law.

8. Refunds

Unless otherwise expressly stated, purchasing a subscription does not create a general right to a prorated or automatic refund.

9. Communications

InvoiceChase may send communications necessary to operate the service, including account verification, password reset, security, subscription, billing, and other service-related messages.

If you use automated invoice follow-up features, you are responsible for using those features lawfully and for ensuring that you have the right to contact the intended recipients.

10. Third-Party Services

InvoiceChase relies on and integrates with third-party services.

We are not responsible for outages, changes, policies, or acts of third-party services outside our reasonable control.

Your use of a third-party service may also be governed by that provider's terms.

11. Intellectual Property

InvoiceChase, its software, branding, interface, designs, and related materials are owned by EmpireX Global LLC or its applicable licensors, except for content owned by users or third parties.

These Terms do not transfer ownership of InvoiceChase intellectual property to you.

12. Service Availability and Changes

We may modify, improve, discontinue, or replace features as the service develops.

We do not guarantee uninterrupted or error-free availability.

We may perform maintenance or take actions reasonably necessary for security, reliability, legal compliance, or operational purposes.

13. Suspension and Termination

We may suspend or terminate access where reasonably necessary because of violations of these Terms, unlawful activity, security risks, nonpayment, abuse, or conduct that threatens the service or other users.

You may stop using InvoiceChase at any time, subject to any outstanding subscription or payment obligations.

14. Disclaimers

InvoiceChase is provided on an "as available" basis to the extent permitted by applicable law.

InvoiceChase does not provide legal, accounting, tax, or financial advice. You remain responsible for your business decisions, invoices, communications, records, and compliance obligations.

15. Limitation of Liability

To the maximum extent permitted by applicable law, EmpireX Global LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of InvoiceChase.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

16. Changes to These Terms

We may update these Terms as InvoiceChase changes or as legal and operational requirements evolve.

Material changes may be communicated through the service or by other reasonable means.

Continued use after updated Terms become effective may constitute acceptance to the extent permitted by applicable law.
